Abstract
The purpose of this study is to examine the effect of ownership structure, board composition and audit committee on financial performance. In this study, the dependent variable used is the financial performance measured by Return on Asset (ROA). The independent variables used are ownership structures proxied by institutional ownership and foreign ownership, board compositions is proxied by board of independent, CEO duality and gender diversity, and audit committees proxied by the number of audit committees. The sample of this research is food and beverage company in Southeast Asia period 2014-2016. The technique of data analysis that use in study is descriptive statistical analysis with SPSS 21 and SmartPLS 3.0. The results of this study is the composition of the board has significant effect on financial performance, while the ownership structure and audit committee has no effect on financial performance.
